Certified vs. Notarized vs. Sworn: What Business Contracts Need
These terms get used interchangeably, but they aren't the same thing, and the receiving agency usually cares about the difference:
- Certified translation
- A signed Certificate of Accuracy from the translator attesting the translation is complete and accurate. This is what USCIS, most U.S. courts, and most U.S. government agencies require.
- Notarized translation
- A notary public witnesses the translator sign the Certificate of Accuracy and applies their official seal. Notarization verifies the identity of the signer, not the accuracy of the translation. Some courts, banks, and foreign consulates specifically require this.
- Sworn translation
- In many European and Latin American countries, only a translator who has taken an oath before a court is authorized to produce a legally valid translation. If your document is going to a country outside the U.S., check whether it requires a sworn translator rather than a U.S.-style certified translation.
Most business counterparties, banks, and government registrars accept a certified translation with no notarization. Some foreign registries or regulators request notarization instead, so confirm with the receiving party before you order.

Can our in-house counsel or an employee translate the contract instead?
For an internal review, that may be fine. But if a government registrar, bank, or counterparty requires a certified translation, it needs to come from an independent third-party translator, not an employee or in-house counsel with a stake in the deal.
Do I need a notarized translation or a certified translation of the contract?
Most business counterparties and registrars only require a certified translation, not a notarized one. Some foreign registries or regulators request notarization instead. Tell us where it's being filed and we'll confirm before you order.
